Item 1.01     Entry into a Material Definitive Agreement.

On April 13, 2018, GP Commercial CB SL LLC (the “Borrower”), a wholly owned subsidiary of Granite Point Mortgage Trust Inc. (the “Company”), entered into a Credit Agreement (the “Agreement”), with Citibank, N.A., as administrative agent and initial lender, Citigroup Global Markets Inc., as sole lead arranger and sole lead book running manager, and the Company and certain other of the Company’s wholly owned subsidiaries, as guarantors.

The Agreement provides for a two-year revolving credit facility (the “Credit Facility”) of up to $75,000,000. The maximum amount available for borrowing at any time under the Agreement is based on a valuation of certain assets of the Borrower. The Credit Facility is secured by a pledge of the equity interests in the Borrower and a security interest in a deposit account of the Borrower.

The Agreement also contains various affirmative and negative covenants, which are customary for similar revolving credit facilities, including monthly and quarterly reporting requirements and limitations on the incurrence of additional indebtedness and changes of control.
